Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Garrison365 platform (“Service”) by gyms, martial arts academies, and fitness studios (“Academies”), their staff, and their members. By creating an account, enrolling as a member through an Academy that uses Garrison365, or otherwise using the Service, you agree to these Terms.

Garrison365 is a software platform that Academies use to manage memberships, billing, scheduling, communications, belt and curriculum progression, and day-to-day operations. An Academy is responsible for its own business decisions, pricing, and relationship with its members; Garrison365 provides the software that supports that relationship and does not operate any Academy itself.

You must provide accurate information when creating an account and keep it up to date. You are responsible for activity that happens under your account and for keeping your login credentials secure. Accounts for a member under 18 are managed by a parent or legal guardian.

Academies subscribe to Garrison365 on the plan they select at sign-up; members pay their Academy for membership plans through the Service. All payments are processed by Stripe, Inc. Fees are billed in advance on a recurring basis unless otherwise stated, and are non-refundable except where required by law or expressly stated by the Academy. An Academy may change its own membership pricing at any time; Garrison365 may change platform subscription pricing with reasonable advance notice.

Garrison365 does not charge a platform fee on the payments an Academy collects from its members — 0% of the Academy’s revenue, on every plan. Card payments are processed by Stripe at Stripe’s standard rates, which the Academy pays to Stripe directly; Garrison365 adds nothing on top of them. We will not add a platform fee to an Academy’s account without that Academy’s written agreement, and the “Changes to these terms” section below does not apply to this commitment.

Each Academy’s subscription includes 1,000 outbound text messages per calendar month, sent through Garrison365 on the Academy’s behalf. Messages are counted the way mobile carriers count them: a message of up to 160 standard characters is one; a longer message, or one containing emoji or other special characters, counts as two or more. Replies the Academy receives are not counted. Unused messages do not carry over to the next month.

We notify the Academy’s owner when 80% of the monthly allowance has been used. Messages keep sending above the allowance; each additional block of 1,000 messages, or part of a block, is billed at US$15 on the Academy’s next invoice. Separate per-hour and per-day sending limits protect the Academy’s number from being flagged as spam by carriers.

By providing a phone number or email address through the Service, you agree to receive account-related messages from the Academy using the Service — including billing notices, class reminders, waiver and document reminders, and progression updates. Message frequency varies; message and data rates may apply. You may opt out of text messages at any time by replying STOP, and request help by replying HELP. See our Privacy Policy for details on how this information is used and protected.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation.
• Attempt to gain unauthorized access to another Academy’s data or another user’s account.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to send unsolicited communications outside the scope of an existing member relationship.
• Reverse engineer, resell, or white-label the Service without our written permission.

Some Academies offer a community feed, comments and messages in the member app. You are responsible for what you post, and there is no tolerance for objectionable content or abusive users. You agree not to post or send content that is harassing, threatening, hateful, sexually explicit, violent, or that infringes someone else’s rights, and not to bully, harass or impersonate anyone.

Any post can be reported with the flag icon, and its author blocked: blocking hides their posts and comments from you at once. Reports go to the Academy’s staff, who can remove content and require posts to be approved before they appear; you can also report to us at hello@garrison365.com. We and the Academy act on reports within 24 hours: content that breaks these Terms is removed, and the member who posted it can be removed from the community or the Service.

As between an Academy and Garrison365, the Academy owns the member data it collects and manages through the Service. Garrison365 processes that data to provide the Service, as described in our Privacy Policy. If an Academy stops using Garrison365, it may request export of its data within a reasonable period, subject to our standard retention and offboarding process.

Garrison365 and its licensors own all rights in the Service, including its software, design, and branding. These Terms do not grant you any right to use the Garrison365 name, logo, or trademarks without our prior written consent.

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Garrison365 is a software platform, not a licensed fitness, medical, or childcare provider; decisions about training, safety, and member care remain the responsibility of the Academy.

To the fullest extent permitted by law, Garrison365 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount paid to Garrison365 for the Service in the twelve months preceding the claim.

An Academy may cancel its subscription at any time through its account settings or by contacting us. We may suspend or terminate access to the Service for a breach of these Terms, non-payment, or conduct that risks harm to the Service or other users. Provisions of these Terms that by their nature should survive termination will survive.

We may update these Terms from time to time. We will post the updated version here with a new “Last updated” date, and where a change is material, we will provide additional notice. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
